This is a legal agreement between Customer and Fleeticc for the service use. These Terms of Service ("Terms") govern your access to and use of Fleeticc's website, mobile applications, and GPS vehicle tracking services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Services on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

Logging into the system constitutes acceptance of these Terms of Service.

2. Service Description

Fleeticc provides GPS vehicle tracking solutions that enable users to monitor and manage their vehicles and fleets. Our Services include real-time location tracking, route history, driver behavior analysis, reporting, and other related features.

3. Account Registration

To use certain features of our Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Subscription and Payment

Some of our Services require payment of fees. You agree to pay all fees in accordance with the pricing and payment terms presented to you.

• Subscription fees are billed in advance on an annual basis.
• All payments are non-refundable unless otherwise specified.
• We may change our fees upon reasonable notice.
• You are responsible for all taxes associated with your use of the Services.

5. User Responsibilities

You agree to use our Services only for lawful purposes and in accordance with these Terms. You are responsible for:

• Complying with all applicable laws and regulations related to vehicle tracking.
• Obtaining proper consent from vehicle drivers and occupants before tracking.
• Properly installing and maintaining tracking devices.
• Ensuring the accuracy of any information you provide.
• Maintaining the confidentiality of your account information.

6. Prohibited Uses

You may not:

• Use our Services for any illegal purpose or in violation of any laws.
• Track vehicles or individuals without proper consent or legal authority.
• Copy or distribute any material contained in the website.
• Use covert tracking. You may not use our service to track a person without their consent, or track an object without the permission of its owner.
• Use the service where such use is illegal. It is your responsibility to ensure that your intended use of GPS tracking does not violate local, state or federal laws.
• Send automated requests to Fleeticc, attempt to circumvent Fleeticc's authentication measures, reverse engineer our software or protocols, or otherwise engage in activities that we deem damaging to our service.
• Transfer accounts, object licenses, or server licenses to others. All licenses are non-transferable and funds are not refundable.
• Attempt to gain unauthorized access to our Services or systems.
• Interfere with or disrupt the integrity or performance of our Services.
• Reproduce, duplicate, copy, sell, resell, or exploit any portion of our Services.
• Use our Services to harass, abuse, or harm another person or entity.

7. Intellectual Property Rights

Our Services and their contents, including but not limited to text, graphics, logos, icons, images, audio clips, software, and other material, are owned by Fleeticc or its licensors and are protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, and revocable license to use our Services for their intended purposes in accordance with these Terms.

8. Data Privacy

We take your privacy very seriously. Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By accepting the Terms of Service, you agree to be bound by our Privacy Policy.

9. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that our Services will be uninterrupted, error-free, or secure, or that any defects will be corrected.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLEETICC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, RESULTING FROM YOUR USE OF OUR SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES EXCEED THE AMOUNTS PAID BY YOU TO FLEETICC IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

11. Indemnification

You agree to indemnify and hold harmless Fleeticc, its affiliates, officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Services, your violation of the Terms of Service, and/or your violation of any right of any person or entity.

12. Termination

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive.

13. Modifications to Terms

Fleeticc may change this agreement at any time for any reason by posting the modified agreement on our website. We will provide notice of significant changes through our website or other communications. Your continued use of the Services after such modifications constitutes your acceptance of the revised Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Sri Lanka, without regard to its conflict of law provisions.

15. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services shall be resolved through negotiation in good faith. If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration in accordance with the laws of Sri Lanka.
